Terms of Service
Introduction
These Terms of Service ("Terms") govern your use of the services provided by Content Theory ("we," "our," "us"). By selecting a service package and proceeding with payment, you ("Client") agree to comply with and be bound by these Terms. Please read them carefully to understand your rights and obligations.
1. Payment and Service Terms
1.1 Service Provision: Content Theory agrees to provide the services detailed in the service package selected by the Client.
1.2 Payment Terms: Payments are due on a monthly basis, starting from the date the first payment is processed. All payments will be automatically deducted each month via Stripe.
1.3 Late Payment: Payments not received within 5 days of the due date will incur a late fee of $50 in addition to the outstanding balance.
2. Cancellation Terms
2.1 Termination by Either Party: Either party may terminate this Agreement by providing a written notice at least 2 weeks in advance.
2.2 Termination by Content Theory: Content Theory reserves the right to terminate this Agreement immediately if the Client fails to comply with these Terms, including non-payment.
2.3 Post-Termination Obligations: Upon termination, all outstanding payments shall become immediately due. Content Theory will cease all services at that time.
3. Scheduling & Shoot Days
3.1 Standard Scheduling: All shoot days are scheduled for Mondays to ensure that content creation is completed within the workweek. This scheduling is essential to delivering final content on time. Deviation from this schedule may lead to workflow disruptions and content delays.
3.2 Rescheduling Policy: If the Client needs to reschedule a Monday shoot day, at least 2 weeks' notice is required. A rescheduling fee will be charged for any weekend work required to meet deadlines due to the change:
Starter Pack: $200
Essentials Pack: $300
Elite Pack: $440
Content Theory does not operate on weekends unless specifically requested by the Client. These fees ensure timely content delivery despite schedule changes.
4. Content Rights & Usage
4.1 Ownership of Content: All content created by Content Theory under this Agreement is owned by the Client. The content will be provided via a physical or cloud-based drive, allowing the Client to use it immediately for their website, advertising, or other media purposes (excluding social media). The Client retains ownership of all content after the partnership concludes.
4.2 Content Theory's Usage Rights: Content Theory reserves the right to use any content created during the partnership, along with associated metrics or performance data, for marketing, advertising, and portfolio purposes. This includes using images, videos, case studies, and performance metrics as examples of our work quality and effectiveness.
5. Client Responsibilities & Confidentiality
5.1 Access Requirements: The Client shall provide necessary access to their social media accounts and any relevant information required to deliver the services effectively.
5.2 Confidentiality Commitment: Content Theory will not disclose any sensitive or confidential information shared during the partnership. We place a high value on maintaining the privacy and trust of our Clients.
6. Indemnification
The Client agrees to indemnify and hold Content Theory harmless from any and all claims, liabilities, damages, or expenses arising from the use of the content created under this Agreement.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ottawa, Ontario, Canada.
8. Entire Agreement
These Terms constitute the entire agreement between the Client and Content Theory, superseding all prior agreements, understandings, or representations.
9. Amendments
Any amendments to these Terms must be made in writing and signed by both parties.
10. Acceptance of Terms
By selecting a service package and proceeding with payment, the Client acknowledges that they have read, understood, and agree to be bound by these Terms of Service.
